Acceptance of Terms
These Terms and Conditions (“Terms”) govern your use of the services provided by Apex Staffing Co. (“Company,” “we,” “our,” or “us”). By accessing or using our services, including staffing, recruiting, HR solutions, payroll, or related offerings (“Services”), you agree to be bound by these Terms.
Scope of Services
We provide professional staffing and workforce solutions, including but not limited to direct hire, contract staffing, contract-to-hire, HR consulting, payroll processing, and employer of record (EOR) services. Services may be customized per client agreement and are subject to change without notice.
Service Availability
We strive to maintain consistent and reliable service delivery but do not guarantee uninterrupted availability. Certain services may depend on third-party platforms, partners, or regulatory requirements.
Client Responsibilities
You agree to provide accurate, complete, and timely information necessary for us to perform our Services. Failure to do so may result in delays, service limitations, or termination of service.
Property Rights
Ownership
All content, materials, processes, documentation, and intellectual property associated with our Services remain the exclusive property of the Company or its licensors. This includes but is not limited to branding, workflows, candidate databases, and proprietary systems.
Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use materials provided solely for the purpose of engaging with our Services.
Restrictions
You may not reproduce, distribute, modify, reverse engineer, or exploit any Company materials without prior written consent.
Client Data
Any data you provide remains your property; however, you grant us the right to use such data as necessary to perform Services and comply with legal obligations.
Prohibited Activities
You agree not to:
- Use our Services for any unlawful, fraudulent, or deceptive purpose
- Misrepresent your identity, business, or hiring needs
- Circumvent payment obligations or contractual agreements
- Solicit or hire candidates introduced by the Company outside agreed terms (where applicable)
- Interfere with or disrupt the integrity or performance of our Services
- Attempt to gain unauthorized access to Company systems or data
Violation of these provisions may result in immediate termination of Services and potential legal action.
Services Management
Engagement Terms
Specific service terms, fees, and deliverables may be outlined in separate agreements, proposals, or statements of work (SOWs). In the event of conflict, those documents will govern.
Fees and Payment
All fees are due as outlined in your agreement. Late payments may result in service suspension. Certain services may be subject to additional fees, including but not limited to placement fees, payroll processing fees, or administrative costs.
Modifications
We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will make reasonable efforts to provide notice where applicable.
Termination
Either party may terminate services in accordance with agreed terms. Upon termination, any outstanding balances remain due, and access to services may be revoked.
Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from the use of our Services, including hiring decisions or employment outcomes.
